Terms of Service

Minutiva Private by SoDulce Labs LLC — Effective: July 21, 2026

Acceptance

By downloading, installing, or using Minutiva Private (the “App”), you agree to these Terms of Service. If you do not agree, do not use the App.

License

SoDulce Labs LLC grants you a non-exclusive, non-transferable, revocable license to install and use Minutiva Private on a Mac you own or control, subject to these Terms. You may not redistribute, decompile, reverse-engineer, or attempt to extract the source code of the App, except where such activity is expressly permitted by applicable law.

Your Content

Audio recordings, transcripts, summaries, and other content you create using Minutiva Private remain your property. The App stores these files locally on your Mac. SoDulce Labs claims no ownership, license, or rights to your content.

Your Responsibility When Recording

You are solely responsible for complying with all applicable laws and regulations when recording audio with Minutiva Private, including wiretapping, eavesdropping, and one- or two-party (all-party) consent laws, which vary by jurisdiction. Many jurisdictions require informed consent from one or all parties before recording a conversation. Check the law in your jurisdiction and obtain any required consent from every participant before recording. SoDulce Labs is not liable for any recording you make, or for your use of the App in violation of applicable law or the rights of any third party, and you agree to indemnify us for any resulting claims (see Indemnification below).

Transcripts & Summaries Are Not Reliable Records

Transcripts, summaries, speaker labels, and other outputs are generated by automated speech recognition and artificial intelligence and may be inaccurate, incomplete, garbled, or attributed to the wrong speaker. They are provided for convenience only. Do not rely on them for legal, medical, financial, employment, compliance, or other official purposes. You are responsible for verifying the accuracy of any output before relying on it, and SoDulce Labs is not liable for decisions or actions taken based on any output of the App.

Third-Party AI Providers

Minutiva Private optionally integrates with third-party AI providers (e.g., OpenAI, Anthropic, OpenRouter, Ollama, LM Studio) that you choose and configure. When you use such providers, your transcript text is sent to them and is subject to their respective terms and privacy policies. SoDulce Labs is not responsible for the conduct of these providers.

No Warranty

Minutiva Private is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, accuracy of transcriptions or summaries, and non-infringement. We do not warrant that the App will be error-free, uninterrupted, or secure, or that any recording, transcript, or summary will be captured, preserved, or accurate. You use the App entirely at your own risk.

Your Data — Back It Up

Your recordings, transcripts, and summaries are stored locally on your Mac. We keep no copy and are not a backup service. Operations involving your recordings carry an inherent risk of data loss or corruption, whether due to software errors, system conditions, user error, or other causes, and you knowingly assume that risk. Maintain your own backups of any recordings or transcripts you value. We cannot recover data that is lost, corrupted, or deleted.

Limitation of Liability

To the maximum extent permitted by applicable law, SoDulce Labs LLC and its owners, members, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of data, recordings, transcripts, privacy, profits, or business, arising from or related to your use of (or inability to use) the App, even if advised of the possibility of such damages. In no event shall our total aggregate liability exceed the greater of (a) the amount you paid us for the App in the 12 months before the claim, or (b) USD $5.00.

Indemnification

You agree to indemnify, defend, and hold harmless SoDulce Labs and its owners, members, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your recordings, your use or misuse of the App, your violation of these Terms, or your violation of any law (including recording-consent laws) or the rights of any third party.

Beta Software

If you are using a beta version of Minutiva Private (a pre-release build distributed outside the Mac App Store), you acknowledge that the App may contain bugs, may behave unexpectedly, and may be modified or withdrawn at any time. Beta builds are intended for testing and feedback.

Changes to These Terms

We may update these Terms from time to time. The current version is always available at sodulcelabs.com/minutiva-private/terms.html. Material changes will be highlighted on this page with an updated effective date.

Termination

You may stop using Minutiva Private at any time by uninstalling it. Your locally stored data remains under your control. We may terminate your license to use the App at our discretion if you violate these Terms.

Governing Law

These Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the state and federal courts located in Denver County, Colorado for any dispute not subject to arbitration or small-claims resolution.
